Exit Rate represents the percentage of all pageviews that were the last in the session. Bounce Rate represents the percentage of sessions in which the entrance page was the only pageview of the session

The bounce rate is determined by calculating the number of bounces over the total number of page views to a page. ... Exit rate is the percentage of visits that were the last in the session whereas the bounce rate is the percentage of visits that were the only one of the session.
